ELOL is their NASDAQ debut. According to the launch materials, the fund invests in swap agreements and other derivative instruments to provide synthetic exposure to the shares of Tesla and the economic performance of SpaceX.

That last part deserves a moment of silence. The fund does not hold SpaceX shares, because retail — and frankly, most institutions — cannot hold SpaceX shares. The company’s equity is private, restricted, and allocated through venture rounds and secondary transactions that are negotiated in conference rooms, not discovered on exchanges. ELOL instead holds derivatives whose value is tied to SpaceX’s valuation, as estimated by its swap counterparties. The ETF’s NAV is a reflection of a negotiated number. It is a price, in a sense. The fund’s performance depends on swap counterparties honoring their obligations and maintaining collateral. The market was not bidding on the fund’s underlying holdings. It was bidding on access — the rare, legal ability to touch private tech with a public ticker. ELOL inherits that dynamic, but on a shorter time fuse, because the leverage component converts valuation drift into amplified disappointment. The underlying changes; the decay doesn’t. That is the sentence I want every potential buyer to tattoo somewhere permanent.


The Valuation Mirage at the Heart of It

Let me be even more explicit about why the SpaceX component is not a minor detail but a structural cliff. We are talking about one of the most valuable private companies in human history, and we are talking about it in an ETF that trades every second of every market session. The mismatch between those two facts is enormous. The only reason the product can exist is that the law has long been comfortable with derivative structures referencing illiquid, opaque, and privately negotiated values. That legal comfort does not, however, close the gap between what the ticker shows and what an informed buyer would actually pay.

The ETF’s authorized participants and market makers will arbitrage the difference between the ETF’s secondary-market price and its NAV — but only as well as the NAV itself reflects reality. The RWA Irony: What Crypto Could Have Learned

Now we arrive at the part I cannot stop thinking about, because it is where the story inverts. In crypto, the RWA sector has spent years attempting to put stocks on-chain. Backed Finance has issued tokenized versions of public shares, including Tesla, on Ethereum in the form of tokens that represent custody-held equity. Ondo and other protocols have built tokenized treasury products that let anyone hold US Treasury exposure with on-chain transparency. The technology works. The compliance rails are improving. There is only one ceiling: you can only tokenize what you can custody. SpaceX cannot be custodied in the traditional sense, because its shares are private, restricted, and negotiated in dark-pool conversations. So the entire tokenization sector has politely dodged the very asset retail wants most — a ticket to a company building rockets.

ELOL solved that problem the way traditional finance has always solved the uncustodiable: it stopped trying to own the asset and started trying to reference it. Swaps are how you monetize an idea without controlling the underlying. That is not a coincidence; it is the fundamental trick that separates TradFi’s flexibility from crypto’s insistence on direct ownership. And once you see that trick clearly, the whole category opens up. If the market rewards Leverage Shares for packaging SpaceX synthetically — and European structured-product issuers are already watching — a wave of applications will follow: packages referencing private AI firms, pre-IPO defense contractors, and conglomerates with private wings. Every company too famous to remain behind a venture veil becomes a candidate for wrapper-based exposure. TradFi is not going to tokenize these assets. It is going to derivative them, market them, and sell them to the same demographic that once chased ICOs and later chased DOGE.

Here is why I believe this is good news for crypto rather than a headline declaring that Wall Street has won the RWA war: every structure TradFi builds without blockchain infrastructure inherits a problem that crypto exists specifically to solve. Transparency. The very qualities that make ELOL attractive to its issuer — the closed-room valuation marks, the undisclosed leverage ratio, the counterparty relationships hidden behind legal frameworks — are the qualities that a well-designed on-chain version would flip into public, auditable, verifiable data. Imagine instead a synthetic SpaceX exposure built as a tokenized collateralized position. Oracle-fed, with valuation circuits tied to published private-market data. Counterparty risk registered on-chain. Margin and liquidation rules visible to every holder. Governance over the parameters exercised by a community rather than a product manager. I have periodically designed systems like this in my own notebooks; the technology exists. What’s missing is the market access — and ELOL has just demonstrated that the market access is exactly what can be manufactured with enough legal and distribution muscle.

If Wall Street can offer a leveraged ETF referencing a private company’s negotiated valuation, then the regulatory argument against, say, a spot SOL ETF — that retail investors deserve protection from volatile, difficult-to-value assets — loses whatever logical force it ever had. The SEC has effectively approved a vehicle whose underlying marker is a whisper, while moving slowly on assets whose prices are recorded on transparent public ledgers every second of every day. That is not a coherent position. It is a historical accident dressed as policy. And it is the kind of accident that crypto builders should cite, calmly and persistently, in every comment letter, every meeting, every congressional testimony for the next eighteen months.

None of this is to suggest ELOL is part of some grand conspiracy. It is simply what happens when an industry with deep distribution and legal expertise meets a regulatory framework that prizes process over substance. The forms are filled. The arrows point in the right directions. The risks are disclosed in prose that nobody reads. The machine hums. The problem is not that ELOL is illegal; the problem is that its operational architecture is less transparent than the very technologies the SEC has historically treated with suspicion. And by sprinting ahead with opaque structures, it hands the on-chain movement its most elegant argument yet: that the future of packageable exposure belongs to whoever can make the record public, the valuation auditable, and the counterparty risk legible to every single coin holder.


What Builders Should Do Next

If you are a builder in the RWA or synthetic-asset space, the next twelve months are your window. Watch the flow data on ELOL the way a farmer watches a front moving in. If first-month inflows clear hundreds of millions of dollars, we will see a stampede of copycat products referencing private AI companies and single-founder conglomerates. The packaging of frontier narratives will come to the traditional market regardless. Your advantage is not in the packaging. It is in the record.

Build the tokenized equivalent that can show every position, every source of valuation, every counterparty limit, and every rebalancing transaction on a public chain. Make the oracle design your product pitch. Make the community governance your answer to the question of who decides what the mark should be. When a NASDAQ-listed fund cannot show you its marks in real time, you show the world everything, always. That is not a technical specification; it is a trust advantage that the traditional structure cannot replicate without ceasing to be itself.

And to the retail investor reading this with a fingertip hovering over a buy button: I understand the pull. I have watched friends and colleagues fall in love with narratives and then get harvested by structure. The underlying asset is not the problem. Tesla is a real company with real products. SpaceX is a genuinely pioneering organization pushing the boundaries of what humanity can reach. The problem is the vehicle that compounds hope at 2x while the asset chops sideways.
